By accessing or using the services provided by ZeroShot Tech ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services.

ZeroShot Tech provides AI product development services, including but not limited to:

• Custom AI software development
• Growth operations and consulting
• Revenue sharing partnerships
• Maintenance and support services

We reserve the right to modify or discontinue services at any time without prior notice.

3. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the confidentiality of any credentials
• Comply with all applicable laws and regulations
• Not engage in any activity that interferes with or disrupts our services
• Not attempt to gain unauthorized access to any systems or networks

4. Intellectual Property Rights

All intellectual property rights in our services and content remain the property of ZeroShot Tech or our licensors. Custom work developed for clients will be governed by separate agreements that specify ownership and licensing terms.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any of our content without our express written permission.

5. Payment Terms

Payment terms vary based on the engagement model:

• Custom Development: Payment terms as specified in individual contracts
• Growth Operations: Monthly retainer or project-based fees
• Revenue Sharing: Percentage of revenue as agreed in partnership agreements

All fees are non-refundable unless otherwise stated in writing.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of our business relationship. This obligation survives the termination of these Terms.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZEROSHOT TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless ZeroShot Tech, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services or violation of these Terms.

9. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

Upon termination, your right to use our services will cease immediately.

10. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of our services after any modifications indicates your acceptance of the updated Terms.
